TERMS AND CONDITIONS – Cherr HR

1. Applicability

These terms and conditions apply to all offers, services, assignments and agreements between Cherr HR, based in Pijnacker, registered with the Chamber of Commerce under number 99310120, and clients, unless agreed otherwise in writing. Deviations are only valid if confirmed in writing by Cherr HR.

2. Execution of Services

Cherr HR performs services in close coordination with the client’s contact person, on-site, remotely, or in a hybrid setup. Services are carried out with professional care, where clear communication and shared responsibility are central. Cherr HR reserves the right to reschedule services in case of force majeure or other circumstances outside its control, in consultation with the client.

3. Rates, Payment and Indexation

Rates exclude VAT, other legal charges and possible travel expenses, unless agreed otherwise in writing. Invoices must be paid within 30 days after invoice date. In case of late payment, statutory interest is due without further notice of default. All judicial and extrajudicial collection costs are borne by the client. Cherr HR reserves the right to index rates annually on January 1st, based on the most recent inflation figures (CBS). A rate adjustment does not give the client the right to terminate the agreement.

4. Cancellation and Rescheduling of Services

Cancellations or rescheduling requests should be communicated as early as possible. The following applies in case of short-term cancellation:

  • More than 2 weeks before start: free cancellation or rescheduling.
  • 1 to 2 weeks before start: 25% of the planned hours or sessions in that period.
  • 48 hours to 1 week before start: 50% of the planned hours or sessions in that period.
  • Less than 48 hours before start: 100% of the planned hours or sessions in that period, unless the time can be filled with other work.

For long-term assignments (more than 1 month), compensation is calculated proportionally based on upcoming planned sessions or hours, not on the full contract value. If services can be rescheduled or combined with other assignments, compensation may be adjusted in consultation.

5. Surcharge Outside Regular Office Hours

Services outside regular office hours, such as Saturdays, may be subject to a surcharge of 25% on the standard rate, unless agreed otherwise in writing.

6. Liability

Cherr HR is only liable for direct damages resulting from demonstrable negligence, up to a maximum of the invoice amount. Liability for indirect damages, consequential damages, loss of revenue or profit is excluded.

7. Complaints

Complaints regarding performed services must be submitted in writing within 7 days after completion. Cherr HR will handle the complaint in consultation with the client.

8. Confidentiality

Cherr HR treats all client information as confidential and will not share it with third parties, unless agreed in writing in advance or required by law.

9. Force Majeure

Cherr HR is not liable for delays or failure to perform services if this is caused by force majeure. Force majeure includes circumstances outside the reasonable control of Cherr HR, such as illness, extreme weather conditions, accidents, telecommunication or internet failures, or other unforeseen events. If force majeure occurs, the client will be informed as soon as possible and an alternative execution or planning will be discussed.

10. Applicable Law and Disputes

Dutch law applies to these terms and conditions. Disputes will be submitted to the competent court in the district where Cherr HR is established.
